In a landmark move for digital asset integration into traditional finance, The Smarter Web Company has raised $21 million through Bitcoin-denominated bonds, showcasing an innovative fundraising approach within the UK’s capital markets.

Bitcoin-Denominated Bonds Enter UK Capital Markets

The new offering, titled Smarter Convert, allows capital to be raised in Bitcoin rather than fiat, marking a significant departure from conventional financial instruments. The bond issuance was fully subscribed, raising 15.8 million GBP, and was structured in partnership with Tobam — a French asset manager known for early crypto adoption.

This marks the first time such a bond structure has been deployed in the UK, offering a crypto-aligned fundraising model that avoids immediate share dilution.

Unlike traditional equity offerings, which often dilute shareholder value, this bond enables the issuer to raise capital while preserving share price integrity. According to the company, the structure results in approximately 5% less dilution compared to a standard equity raise at the issue date, due to the premium-based conversion pricing.

The bond’s conversion mechanism aligns closely with Bitcoin’s value, allowing dynamic repayment that reflects market conditions.

Increasing Bitcoin Reserves

This bond launch follows a series of BTC purchases by The Smarter Web Company throughout July. As of now, the company holds 2,050 BTC, valued around $234 million, reinforcing its strong crypto treasury strategy. The latest acquisition added 225 BTC, further signaling long-term confidence in digital assets.

Future Outlook

By introducing Bitcoin-denominated instruments into a regulated market environment, the company is not only funding growth but also strengthening its crypto positioning. This innovative bond model could potentially pave the way for similar capital-raising strategies among other UK-listed firms seeking blockchain alignment.
