Stablecoin issuer plans to sell 2M new shares alongside insider sales
Circle (CRCL), the company behind the USD Coin (USDC) stablecoin, saw its shares slide 6% in after-hours trading on Tuesday after announcing a secondary stock offering totaling 10 million shares.
The sale will include 2 million Class A common shares issued directly by the company and 8 million shares offered by existing stockholders. The move comes just two months after Circle’s high-profile stock market debut, which saw strong initial investor demand.

The company reported a $428 million net loss for the second quarter earlier in the day, adding pressure to its share price.
“Investors often see insider selling as a cautionary signal, especially so soon after an IPO,” According to BITX market strategist. “The size of the offering could weigh on short-term sentiment.”
Balancing Liquidity and Market Perception
Secondary offerings allow early investors and insiders to cash out some of their holdings, while companies can raise additional capital. In Circle’s case, the direct issuance of 2 million shares will bring in fresh funds for the business, while the 8 million insider shares will not provide proceeds to the company.
The timing is notable, given Circle’s role as a major player in the stablecoin market. USDC remains the second-largest stablecoin globally, though it trails Tether (USDT) by more than $100 billion in market capitalization.
Market Outlook
The share sale’s reception will depend on investor confidence in Circle’s long-term growth prospects. While the company’s revenue has benefited from increased stablecoin use in decentralized finance, the recent quarterly loss and post-IPO volatility may amplify caution among traders.
With stablecoin adoption growing globally, Circle’s ability to maintain market share against competitors could determine whether its stock regains momentum in the months ahead.
